Short answer: The provisions located give Thai limited-company shareholders three main rights: to inspect the minute books, to receive the audited balance sheet before the general meeting, and, with at least one-fifth of the shares, to apply for an official inspector.
Part of the Business Partner Fraud in Thailand guide.
Statutory rights
| Right | Condition |
|---|---|
| Inspect minutes and resolutions of shareholder and board meetings | Any shareholder, during business hours |
| Receive the audited balance sheet | At least 3 days before the general meeting |
| Apply for an inspector of company affairs | One-fifth of shares; security for costs may be required |
| Partners inspect and copy partnership books | At any time |
The Supreme Court has described these information rights as personal to each shareholder, unlike the Section 1169 claim brought for the company.
Can you see all the accounting books?
No provision was located giving limited-company shareholders a direct right to inspect all ledgers and vouchers, as partners have. Options include rights in the articles or a shareholders’ agreement, an official inspector, an extraordinary meeting (see [removing a director]), and court evidence procedures once proceedings begin.
Auditor independence
The auditor must be independent of management. Raise concerns at the general meeting if that seems doubtful.
